Terms of Service

1. Acceptance of Terms

By downloading, installing, or using The Audrey App, you confirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the App on behalf of a household that includes minors, you accept responsibility for their use of the App.

2. Description of Service

The Audrey App is a home management application that provides tools for household calendar management, task assignment, grocery list organization, home maintenance scheduling, meal planning, document storage, vendor discovery, and related household coordination features ("Services").

3. Your Account

To use the App you must create an account. You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately at info@nestalignco.com of any unauthorized use
• Providing accurate, current, and complete information during registration

We reserve the right to terminate accounts that violate these Terms or that have been inactive for an extended period with prior notice.

4. Household Members

As a Household Admin, you may invite other users to your household. By inviting members, you represent that you have their consent to share the household data described in our Privacy Policy. You are responsible for the conduct of all members you invite. Household Admins may remove members and manage roles at any time through the App.

5. Subscription Plans & Billing

Free Plan

Core features are available at no cost. We reserve the right to modify which features are included in the Free plan with 30 days' notice.

Audrey Gold (Paid Subscription)

• Monthly: $7.99 CAD per month
• Annual: $69.99 CAD per year (save 27%)

Subscriptions are billed in advance and automatically renew unless cancelled at least 24 hours before the renewal date. Prices are in Canadian dollars and subject to applicable taxes.

Billing Through App Stores

When subscriptions are purchased through the Apple App Store or Google Play Store, billing is managed by Apple or Google respectively. Their terms govern the purchase, cancellation, and refund processes for those transactions.

Cancellation & Refunds

You may cancel your subscription at any time through the App or through your App Store account settings. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not provide pro-rated refunds for partial periods, except where required by applicable law.

6. Vendor Marketplace

The App includes a Vendor Marketplace connecting users with independent home service businesses ("Vendors"). Important limitations apply:

• Nest Align Co. does not employ Vendors and is not responsible for their work quality, licensing, insurance, or conduct
• Any contract for services is between you and the Vendor directly
• Nest Align Co. may receive a referral commission from Vendors for bookings made through the App — this is disclosed to all parties
• Vendors listed as "Preferred Partners" have agreed to our vendor terms but are independently operated businesses
• Disputes with Vendors must be resolved directly with the Vendor

7. User Content

You retain ownership of all content you enter into the App (calendar events, notes, photos, documents, etc.). By using the App, you grant Nest Align Co. a limited licence to store, process, and display your content solely to provide the Services to you.

You represent that you have the right to submit all content you provide, and that your content does not violate any third-party rights or applicable law.

8. Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the App or its infrastructure
• Reverse engineer, decompile, or disassemble the App
• Upload or transmit malicious code, spam, or harmful content
• Impersonate any person or entity
• Use the App in any manner that could damage, disable, or impair its functionality
• Resell or commercialize the App's Services without our written permission

9. Intellectual Property

The Audrey App, including its name, logo, design, features, and code, is the intellectual property of Nest Align Co. and protected by Canadian and international copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the App as intended.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Nest Align Co. disclaims all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content in the App.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Nest Align Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including but not limited to loss of data, loss of profits, or damage to property.

Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Nest Align Co. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time if you violate these Terms, with or without prior notice. You may delete your account at any time through Settings → Data & Privacy → Delete Account. Upon termination, your right to use the App ceases immediately. Sections 9, 10, 11, 12, and 14 survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising from these Terms shall be resolved in the courts of British Columbia, Canada, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via push notification or email at least 14 days before the changes take effect. Continued use of the App after the effective date constitutes acceptance of the updated Terms.
